These Terms of Service (the “Terms”) govern your access to and use of the BioEdge Labs website, catalog, and any related services (collectively, the “Services”). By browsing the site, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy.

Every peptide, reagent, and reference material offered by BioEdge Labs is intended for laboratory research and development use only. Products are not drugs, dietary supplements, cosmetics, or medical devices. They have not been evaluated or approved by the U.S. Food and Drug Administration or any comparable regulatory authority.

You agree that you will not administer any product to humans or animals, resell any product for human or veterinary consumption, or represent any product as safe or effective for any therapeutic purpose. You are solely responsible for complying with all applicable laws, institutional policies, and safety requirements governing your handling of research materials.

To use the Services or place an order, you must be at least 21 years old and legally able to enter into a binding agreement in your jurisdiction. You represent that you are ordering on behalf of a qualified research entity, institutional lab, or as a licensed professional acting within the scope of your credentials.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at support@bioedge.icu if you suspect unauthorized use.

All orders are offers to purchase and are subject to acceptance by BioEdge Labs. We may decline, cancel, or limit any order for any reason, including suspected misuse, pricing errors, stock availability, or failed verification.

Prices, product descriptions, images, and stock status are provided for reference and may change without notice. In the event of an obvious pricing error, we reserve the right to cancel the affected order and issue a full refund. Applicable taxes and shipping charges are calculated at checkout.

Estimated ship dates and transit times are estimates only and are not guaranteed. Risk of loss and title pass to you upon delivery to the carrier. Inspect all shipments promptly and contact support within 7 days of delivery to report damage, shortages, or discrepancies.

Because our products are sensitive research materials, most items are non-returnable once shipped. Refund or replacement decisions are handled case-by-case and are subject to review of batch, storage, and handling context. See product pages for any category-specific handling notes.

You agree not to use the Services to:

• Order products for human or veterinary consumption, cosmetic use, or any clinical purpose;
• Misrepresent your identity, credentials, research affiliation, or shipping destination;
• Interfere with the site's security, integrity, or performance, or attempt to access any non-public area;
• Scrape, copy, or reuse catalog content, imagery, or documentation without written permission;
• Violate any applicable law, regulation, export control, or third-party right.

The BioEdge Labs name, logo, catalog content, product photography, documentation, and site design are owned by BioEdge Labs or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to view catalog content for your legitimate research purchasing purposes.

No portion of the Services may be reproduced, redistributed, or used to train machine learning models without prior written consent.

THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BioEdge Labs makes no representation that any product will be suitable for any particular research application. Purity context, batch documentation, and analytical results are provided for reference and do not constitute a guarantee of performance in your specific research use case.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIOEDGE LABS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR RESEARCH RESULTS, ARISING OUT OF OR RELATING TO THE SERVICES OR ANY PRODUCT.

Our aggregate liability for any claim arising out of or relating to the Services or any product will not exceed the amount you paid to BioEdge Labs for the specific product giving rise to the claim in the 12 months preceding the event.

You agree to indemnify, defend, and hold harmless BioEdge Labs and its affiliates from any claim, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to your use of the Services, your handling of any product, your breach of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue there.

Nothing in this section limits either party's right to seek injunctive relief in any court of competent jurisdiction for the protection of intellectual property or confidential information.

We may modify these Terms at any time. Material changes will be indicated by an updated “last updated” date at the top of this page. Your continued use of the Services after the effective date of the revised Terms constitutes acceptance of the changes.
